Any use of the above terminology or other words in the singular, plural, capitalization, and/or he/she or they, are taken as interchangeable and therefore as referring to same.

The failure to identify or correct any particular Scrivener’s Error shall not be construed as a waiver of the right to do so in the future. Both parties agree to cooperate in good faith to remedy any Scrivener’s Errors, if deemed necessary, to accurately reflect the original intent of these instruments.
Agreed Services
By service(s) or agreed service(s), we mean any service that has been requested from Easyco by the Client via the website, email, phone number, or any other contact method, and accepted by Easyco either by writing, verbally, or by using our website, regardless of virtual or physical contracts with or without signatures. Completion and submitting of Easyco’s online application forms are also considered agreed services with a tacit agreement on Easyco’s part, as a result, a binding contract is formed between the parties, with a scope of services, limitations, and pricing clearly defined in our website.
A general list of our services and countries we cover can be found at itseasyco.com, nonetheless, Easyco also may provide additional services to existing or new Clients, in addition to providing on-demand services to Clients that require a different scope of work, other than the ones shown publicly in our website.
Easyco Services
Easyco allows you to form a business in a city, in the country chosen, where Easyco is present, in addition to ensuring that your business is in good standing with local regulations, protecting your business’ privacy, filing certain documents with the government authorities, and obtain additional services that may be offered from time to time. Easyco is not considered a law firm nor does it create an attorney-client relationship. This service must be used within the applicable laws of the country where the service is being rendered. This Service is intended only for use in the countries that Easyco covers.

Good faith
The Parties agree, in exercising their respective rights and complying with their respective obligations under the Terms and conditions here within, including when conducting any discussions or negotiations arising out of the application of any provisions of this contract or exercising any discretion under them, at all times act in good faith and to adopt all reasonable measures to ensure the realization of the objectives.
Warranty Disclaimer
You understand and agree that the service is provided on an “as is” and “as available” basis and that Easyco assumes no responsibility or liability for the timeliness, deletion of content, or failure by the service. Easyco expressly disclaims all warranties of any kind, whether expressed or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement or any warranty that (a) the service will meet your requirements, (b) the service will be uninterrupted, timely, secure or error-free, (c) the results that may be obtained from the use of the service will be accurate or reliable, (d) any content or information you provide or Easyco collects will not be disclosed or (e) any errors in any service will be corrected. you agree that the use of the service and the website is at your own risk. if applicable law requires any warranties concerning the site, all such warranties are limited in duration to 90 days from the date of first use.
Limitation of Liability
Easyco holds no liability before public or private institutions and expressly denies liability from any claims, demands, damages, actions, expenses, controversy, causes of action, penalties, fees, costs, or suits of any kind or nature whatsoever.
Force Majeure. In no event shall Easyco be responsible or liable for any failure or delay in the performance of its obligations hereunder arising out of or caused by, directly or indirectly, forces beyond its control, including, without limitation, strikes, work stoppages, accidents, epidemics, acts of war or terrorism, civil or military disturbances, nuclear or natural catastrophes or acts of God, and interruptions, loss or malfunctions of utilities, communications or computer (software and hardware) services; it being understood that Easyco shall use reasonable efforts to resume performance as soon as practicable under the circumstances.
Service limits. Easyco’s obligations end with the completion of services provided. Easyco delivers all services with truthfulness, transparency, and best intentions, in the best capacity by us and following the information and documentation received from the Client. Easyco works to attain, but does not guarantee, the successful resolution/outcome/completion of any service provided; In accordance, all fees and charges by Easyco related to its services are to be paid unless otherwise agreed in writing with the Client, before any given service starts for the first time, or unless otherwise stated in our Refund Policy section. Easyco will not be liable for any direct, indirect, incidental, special, punitive, compensatory, consequential or exemplary damages (collectively, “damages”), resulting from: (a) the use or inability to use the service; (b) the cost of any goods and/or services purchased or obtained as a result of the use of the service; (c) disclosure of, unauthorized access to or alteration of your information or content; (d) content you submit, receive, access, transmit or otherwise convey through the service; (e) statements or conduct of any service providers or other third party through the service; (f) any other matter relating to the service; (g) any breach of this agreement by Easyco or the failure of Easyco to provide the service under this agreement or (h) any other dealings or interactions you have with any service providers (or any of their representatives or agents; (i) anything outside of the services agreed, (j) any advice, comment, view and/or suggestion mentioned (k) the veracity or completness of information received or withheld from/by the Client or any third-party, (l) time of completion of a service, (m) government or service delays, (n) any work completed by any past employee, contractor and/or service provider, (o) any outcome from external counsel or service providers, (p) unsuccesfull resolution/outcome/completion, delay or negligence of services of a sub-contracted third-party, (q) any obligations/services of a third-party referred to a Client, (r) financial, legal, or administrative repercusions, fees, claims, penalties levied to the Client’s company or Client whilst providing services and/or in the future, (s) Government or institution shutdowns, or law changes that may affect the service in any matter.
Indemnification
You agree to indemnify, defend, and hold harmless Easyco, its agents, managers, designees, representatives, successors, assigns, affiliates, officials, directors, employees, third parties, and any and all persons, firms, and corporations, liable or who might be claimed to be liable, whether or not herein named, none who admit any liability, but all expressly denying liability from any and against all claims, losses, demands, damages, actions, expenses, penalties, controversy, causes of action or suits of any kind or nature whatsoever which the client has or may hereafter have, arising or related to any service, including fees and costs of any type, caused by negligence in the performance of services.
Third-parties
Third parties can be classified by Easyco as partners, associates, suppliers, affiliates, representatives, experts, service providers, and providers of strategic alliances from any and all industries. At its sole discretion, Easyco retains the right to subcontract either wholly or partially any of the services offered to the Client. Easyco may refer Clients to third parties that include but are not limited to companies and independent contractors that Easyco may be working with and/or subcontracting. If Easyco subcontracts, it shall endeavor that the subcontract contains at least the same level of restrictions on the subcontractor, including confidentiality, non-solicitation and non-competition, compliance with Law, and security obligations, at least as restrictive as those contained here within. Notwithstanding, Easyco is not held responsible or liable for any failure or unsuccessful outcome from third parties on the matters mentioned in this section, and as stated in the limitations of liability section.
Service details, limits, and additional charges
About PEO/EOR Services.
Easyco is committed to delivering Employer of Record (EOR) and Professional Employer Organization (PEO) services with integrity and professionalism. However, the Client must acknowledge and agree to the following terms and conditions:
A. Legal and Financial Liability: The Client shall bear full responsibility for any financial and legal obligations arising from the engagement of contractors or employees by Easyco on behalf of the Client (referred to as “outsourced employee” or “employee”). This includes covering all direct and indirect costs during and after the service period. Should any legal actions or penalties arise against Easyco, its representatives, or affiliates due to these services, the Client agrees to promptly cover all penalties, fees, and associated costs. Failure to make timely payments will result in interest being charged at the highest rate allowed, with no possibility of waiver or discharge through liquidation or any other legal mechanism.
B. Employment Compliance: Easyco will only hire individuals legally authorized to work in the respective country. It is the Client’s responsibility to provide all necessary documentation before employment commences. All employee compensation, including bonuses, must be routed through Easyco; the Client is prohibited from making direct payments to employees.
C. Payroll and Reporting Obligations: The Client is solely accountable for any issues arising from unreported payroll information to Easyco. If the Client fails to provide the necessary payroll data, Easyco will not be recognized as the employer, and the Client assumes full liability for workers’ compensation claims, tax obligations, employment discrimination claims, general liability claims, third-party claims, and all related obligations.
D. Direction and Control of Outsourced Employees: Easyco retains the right to manage outsourced employees, including their hiring, termination, and orientation. Nonetheless, the Client maintains control over daily operations to conduct its business, uphold fiduciary duties, and adhere to regulatory requirements. The Client exercises exclusive control over the day-to-day tasks of outsourced employees, and Easyco is not accountable for overseeing the job site or daily work activities.
E. Licensing and Certification Requirements: If any outsourced employee requires specific licenses, registrations, or certifications according to applicable laws, the Client is responsible for ensuring compliance. This includes verifying and providing necessary licensure and supervision for such employees.
F. Provision of Resources: The Client agrees to furnish all facilities, supplies, equipment, and other necessary resources required for employees to perform their duties effectively.
G. Confidentiality: Both parties agree to keep confidential any proprietary information shared during the term of this agreement. The Client and Easyco shall not disclose any confidential information to third parties without prior written consent, except as required by law. Other confidentiality terms found along the “terms and conditions” section apply.
By signing our agreement, the Client acknowledges their responsibilities and obligations in conjunction with Easyco’s services.
Adjunct services. Any standard service not listed on our website or deemed outside the scope of an agreed contract will be billed at a global rate of 99 USD per hour and will be quoted and/or charged directly at this rate. For more complex services the hourly rate may vary; any variable rates will be previously quoted and confirmed with the Client.
Easyco assigns the concept and amount of hours at their discretion. The hourly rate is charged ‘up to’ an hour and rates will be charged plus VAT if required.
Bank Account Coordination Service Limitations. By availing of our bank account opening coordination service, you acknowledge and agree to the following limitations. We strive to facilitate a smooth and efficient account opening process; however, we are only acting as the coordinating party, and we cannot be held liable for any delays that may occur, including but not limited to delays caused by third-party verification procedures, regulatory compliance requirements, or unforeseen circumstances beyond our control. The final resolution of the account opening lies solely with the respective financial institution, and we cannot guarantee their decision or the timeframe within which it will be reached. Additionally, any additional information requested by the financial institution during the account opening process is the sole responsibility of the customer, and we are not accountable for obtaining or providing such information. By proceeding with our service, you acknowledge that these limitations exist and release us from any liability related to delays, final resolution, or additional information requested during the bank account opening process.
Company incorporation details. By company incorporation we mean any legal entity incorporation service carried out by Easyco for the Client, and can be referred to as, but not limited to, company/legal entity/offshore/IBC formation, setup, registration, and creation. You understand that the company incorporation service might be carried out with local representatives as defined here within. You understand that any company incorporation service that is carried out by local shareholders concludes unless otherwise stated in writing by Easyco to the client, with the transfer of shares to the shareholders that are designated by the Client (either foreign or local) and its record in the company books, if applicable. The Client understands that after Easyco services are concluded, depending on the jurisdiction, the Client may have to update the company bylaws, documentation, and other information required before government authorities, agencies, and banking institutions. As such, the Client is responsible for any government, Notary, third-party, or other costs or expenses associated with the mentioned activity.
Company abandonment. Failure of payment along with the failure of communication with a Client via text, email, call, or others after 120 calendar days, when an agreed service for recurring/monthly services exists for the Client and for the Client’s8 di company, will automatically result in a company abandonment from the Client. Easyco retains the right to transfer ownership of the said company. This does not mean a cessation or termination of service, and Client obligations still apply, including but not limited to the payment of past invoices in full and other interest rates, surcharges, and/or additional third-party expenses.
Handover of information. The Client understands that handover of information from/to Easyco may be required for certain services. Any additional work, including but not limited to, management, coordination, or rectification of the handover process is considered an additional service and is charged in accordance with the Administrative Services fee stated here within, in conformity with the country where the service is being rendered. For this clause, additional work entails anything that is outside the simple transfer of information and/or documentation from the current service provider to Easyco and vice versa.
Modification. Easyco reserves the right, at any time, to modify, suspend, or discontinue the Services (in whole or in part) and adjust all fixed and monthly fees with or without notice to you, except where Easyco is providing monthly or yearly services, in which case Easyco will endeavor to give you notice, in writing or verbally, at least 30 calendar days prior to the next renewal term, if applicable. You agree that Easyco will not be liable to you or to any third party for any modification, suspension, or discontinuation of the Services or any part thereof.
The Client agrees to provide Easyco at least 90 calendar days written notice (unless otherwise agreed) in the event of a requested change and/or cancellation of services, otherwise, the Client will be liable to provide financial and injunctive relief to Easyco.
During the notice period, the Client is responsible for paying monthly agreed services as usual, and other services that may apply. Regardless, of Easyco’s responsibility, completion, or delivery of said services; this may vary as part of the Client’s handover process or any other eventuality. The Client is fully responsible for the complete payment of Easyco’s invoices.
The Client can also pay an early termination fee of 3 calendar months, based on the Client’s monthly agreed services and the latest invoice sent, if applicable. The calculation of the early termination fee is done at Easyco’s discretion.
Registered office address details. By registered address, we mean any address that is provided to the Client in favor of its legal entity and can be referred to as but not limited to, commercial address, fiscal address, registered office address, local address, and company address. This service includes the appointment of an office address in the designated city, to be used for compliance, before the local government/ public authorities, and private and banking institutions. Provision of this service does not grant the Client a physical space or allow for any type of modifications to said address, including, but not limited to, safety, space, usage, or any other type of changes and/or modifications. Also, this service does not grant the Client the right to showcase permits in the office space and/or apply to an operations license or other licenses that require a permanent on-site registered address, unless otherwise agreed by Easyco in writing.
Reimbursement.Any additional or third-party costs, expenses, fees, taxes, or other extraordinary payments completed by Easyco for the Client, which are not part of the agreed services between the Parties, have to be reimbursed at their cost + 15% unless otherwise stated by Easyco.
Representation details.Only once this is complete Easyco is obliged to return any pending Client documentation/ information held. Easyco reserves the right to charge 50 USD + VAT per day, for every day that Easyco’s representatives, regardless of type, remain present legally in the Client’s company after the mentioned deadline. Easyco, at its sole discretion, may submit a legal document to government authorities and banking institutions renouncing representation from the Client, this does not mean a cessation or termination of service, and Client obligations mentioned here still apply.
Additional representation notes:
The Client has to grant sufficient legal powers for Easyco to carry out the representation services.
Easyco may require providing Representation services and company Accounting and Tax services, for risk mitigation.
In the event of any legal claims, action, and/or penalties against Easyco and/or its representatives, successors, assigns, affiliates, officials, directors, employees, and any and all persons, firms, and corporations, as a result of the representation service provided. The Client is held, and remains, financially and legally liable in full for all direct and indirect costs and implications associated with the legal entity and its corresponding representation during, and continuing after, the provision of these services, for unlimited time. As such, the Client has up to 72 hours, starting when notified, to complete immediate payment in full, without reservation, to Easyco for any penalties, fees, and all direct or indirect costs associated with management, coordination, and/or representation for the Client against such claims up until an unlimited amount. This responsibility cannot be transferred, delegated, renounced, abandoned, and/or relinquished, or waived through the sale, partnership, transfer, liquidation, and/or any other legal means.
Notwithstanding motive, if the representation services are terminated, the Client has the responsibility to cover any government, notary, or third-party expense associated with the mentioned activity, in addition to rescinding any powers of attorney associated. The Client has up to 10 calendar days once Easyco’s services are completed to finalize the new representation transfer before government and banking authorities. Only once this is complete Easyco is obliged to return any pending Client documentation held. Easyco reserves the right to charge 39 USD + VAT per day, for every day that Easyco’s legal representative remains present legally in the Client’s company after the mentioned deadline. Easyco, at its sole discretion, may submit a legal document to government authorities and banking institutions renouncing representation from the Client, this does not mean a cessation or termination of service, and Client obligations mentioned here still apply.
Invoicing
Recurrent services. Easyco recurrent services may be monthly or annual and also labeled ‘compliance’ ‘additional’, ‘add-on’, or ‘continuing’ services. Recurrent services begin, when applicable when the Client tax ID number is activated as part of your company incorporation service, unless otherwise shown in the site, stated in writing here within or agreed in writing between Parties. Recurrent services are charged separately from the Company formation service.
Monthly services will be invoiced every month automatically. Annual services will be invoiced every year automatically at Easyco’s discretion.
Easyco’s invoicing issuance pattern may vary from time to time but maintains the same criteria and abides by any valid contract.
Annual services will be invoiced every year automatically.
Additional services provided within a calendar month will be invoiced before the service is carried out or at the end of the given month, if applicable.
Payment. Easyco is to receive payment in accordance before starting any service. The standard invoice carries a 15 calendar days standard payment time, unless otherwise agreed with the Client. We maintain the right to charge interest fees as surcharges for overdue payments. For invoices that are more than 30 calendar days past due, we reserve the right to immediately suspend services without penalty and without providing an opportunity for the Client to rectify the situation. For invoices that are over 90 calendar days past due, we reserve the right, if applicable, to retain entities resulting from Easyco services as security for the outstanding amount plus any applicable surcharges, as specified in our terms.
Any payment received by a Client or potential client after a service agreement or quotation is presented may still constitute an agreement to the services on the Client’s behalf, even if said service agreement or quotation hasn’t been signed and/or there hasn’t been a written or verbal confirmation by the corresponding parties.
International Transfer Fees. International bank transfer fees from transactions are the responsibility of the client, all Easyco invoices will include an international wire transfer fee to be added on top of the invoiced services, when applicable. Easyco charges a standard fee for this regardless of the country where the service is being carried out. An updated rate of this fee can be found on the footer of the website (itseasyco.com).
Value Added Tax. VAT is applicable to all services and will be added to client invoices unless otherwise mentioned in writing by Easyco. VAT depends on the country where the services will be carried out. Please refer to the footer of our website to see an updated list of the VAT per country.
Exchange rate. Easyco will determine the fair exchange rate to be applied to the Client invoicing, minus any reasonable reductions to allow for applicable receipt fees, Governmental charges, and/or taxes; with the result being that Easyco is paid in full for services rendered in agreed services. Furthermore, Easyco, where currency exchange is not applicable, retains the right to on-charge transfer receipt costs for local and/or International transfers as applicable.
Service Cancellation
Service cancellation applies if: (a) The Client fails to pay for the agreed services in accordance with section 9, invoicing clause, (b) the Client files a petition in bankruptcy, (c) the Client becomes insolvent, or otherwise takes action to dissolve as a legal entity, (d) the Client Incurs in delinquent tax liability, (e) If at any time the Client’s performance threatens the health or safety of managers, employees or third-party providers (f) Easyco identifies any suspicious, non-compliance, or abusive activity from the Client or their legal entity. Due to the sensitivity of the services rendered and their liability with local authorities, Easyco also retains the right to deactivate a company tax ID number to stop providing services. Any outstanding payments have to be paid in full, in addition to any costs and fees related to the activation of the company tax ID, before resuming activities and services with Easyco or before the transfer of documentation to a new party or the Client.
Disputes
In case of any dispute or claim related directly or indirectly to Easyco service agreements, or in-compliance, the parties shall consult and negotiate directly to try to reach a satisfactory solution. If an agreement is not reached within a period of 60 days, any dispute or claim unresolved will be resolved by amicable settlement mechanisms in accordance with the laws of the jurisdiction chosen by Easyco. Easyco may, at sole discretion, decide to modify the venue to settle future arbitration at any time before or during the negotiation period between Parties.
Privacy Policy

Intellectual Property and Non-Solicitation
Ownership. Excluding any content that you may provide, you acknowledge that all the intellectual property rights, including copyrights, patents, trademarks, and trade secrets, in the Site or discussed in writing or verbally, and its content is owned by Easyco or Easyco’s suppliers. Neither this Agreement (nor your access to the Services) transfers to you or any third party any rights, title, or interest in or to such intellectual property rights, except for the limited access rights expressly set forth herein. Easyco and its suppliers reserve all rights not granted in this Agreement. There are no implied licenses granted under this Agreement. Any content considered intellectual property rights of the Client, in existence at the date of any agreed service, and which are comprised in or necessary for or arising from the performance of this agreement, remain in the ownership of the Client. For marketing purposes only, the Client hereby gives permission to Easyco to inform current or future stakeholders about the existence of the commercial relationship between both parties.
Non-solicitation. The Client acknowledges that any contact information shared by Easyco, whether that be its agents, managers, designees, representatives, successors, assigns, affiliates, officials, directors, employees, third parties, contractors, and any and all persons, firms, and corporations are considered a valuable asset. As such, the Client agrees not to make direct or indirect contact to circumvent Easyco in order to conduct business directly, without the written consent Easyco. This remains in full effect for two (2) years after the cessation, termination, or rejection of business transactions between the Parties.
Disclosure of Information
As Easyco continues to develop its business, it might sell or buy other companies or assets or be acquired or have substantially all of its assets acquired by a third party. In such transactions, customer information generally is one of the transferred business assets. You hereby consent to the transfer of your information as one of the transferred assets and to be used for any purpose allowed under this Agreement (subject to privacy and confidentiality provisions).
Modification of Terms and Conditions
These Terms are subject to occasional revision, and if we make any substantial changes, Easyco at sole discretion may notify you by sending you an e-mail to the last e-mail address you provided to us (if any), and/or by prominently posting notice of the changes on our Site. You are responsible for providing us with your most current e-mail address. In the event that the last e-mail address that you have provided us is not valid, or for any reason is not capable of delivering to you the notice described above, our dispatch of the e-mail containing such notice will nonetheless constitute effective notice of the changes described in the notice. Any changes to these Terms will be effective (a) immediately upon the next time you log in to the Site, (b) 30 calendar days following our dispatch of an e-mail notice to you (if applicable), or (c) 30 calendar days following our posting of notice of the changes on our Site. These changes will be effective immediately for new users of our Services. Continued use of our Services following notice of such changes shall indicate your acknowledgment of such changes and agreement to be bound by the terms and conditions of such changes.
Entire Agreement
This Agreement governs your use of the Service and constitutes the entire agreement between you and Easyco. It supersedes any prior or contemporaneous negotiations, discussions, or agreements, whether written or oral, between you and Easyco regarding the subject matter contained in this Agreement. Additional terms and conditions may exist between you and third parties, including but not limited to, Service Providers and others. You represent and warrant that those third-party agreements do not interfere with your obligations and duties to Easyco under this Agreement.
Client Acknowledgment
All clients acknowledge and agree with the following:
Anti-Money Laundering and Counter-Terrorism Financing (AML/CFT): “I hereby declare that myself and my associates have not been involved in any proceedings of public relevance or sanctioned in relation to money laundering or terrorist financing before”.
The veracity of the information provided: “I hereby declare that the information provided herein is accurate, correct, and complete and that the documents submitted along with this application form are genuine. I undertake to inform Easyco in writing of any changes to the information already provided”.
Terms and conditions acceptance: “I hereby acknowledge that I have read, understand, and agree with the Terms and Conditions and Privacy Policy for Easyco’s website and services. Also, I agree with the service requested in this online application and its process”.
Refund Policy
Our refund policy only allows for a refund if payment has been issued by the Client for a company formation service of a business that we do not support. The amount refunded will be issued minus any transaction costs or fees associated with the refund. All other services are non-refundable.
Provisions Remaining in Effect
In the event, that your use of the Services is terminated or lapses or you are no longer a Client of Easyco, certain provisions of this Agreement will continue to remain in effect, including, but not limited to, Section 3-6, 8, 9 and 11-17.
Miscellaneous
This Agreement may not be re-sold or assigned by you. If you assign or try to assign, this Agreement, such assignment or attempted assignment will be void and unenforceable. It will not be considered a waiver of Easyco’s rights if Easyco fails to enforce any of the terms or conditions of this Agreement against you. In the event a court finds a provision in this Agreement to not be valid, you and Easyco agree that such court should incorporate a similar provision that would be considered valid, with all other provisions remaining valid in the Agreement. No joint venture, partnership, employment, or agency relationship exists between you and Easyco as a result of this Agreement or use of the Service. You acknowledge and agree that each of the Released Parties shall be an intended third-party beneficiary of this Agreement.
