  • It has more flexibility that a Corporation because it allows one to freely add more partners

  • The partners can contribute with assets or money

‘Empresa Individual de Responsabilidad Limitada’ (E.I.R.L.)

Similar to an LLC, but it is incorporated by only one person, who is liable for all aspects of the business.

  • One person can be the owner of the company

  • There is no minimum capital required at the moment of incorporation

  • The owner has limited liability over its contribution to the capital

‘Sociedad por Acciones’ (SpA)

A ‘Sociedad por Acciones’ or (SpA) can be defined as a combination between a Corporation (S.A.) and a Limited Liability Company (S.R.L.). It is one of the most common types of legal structures because it offers flexibility and a fast registration process.

  • This type of company can be formed by only one partner, but more can be added later

  • The name must have the abbreviation ‘SpA’ at the end
